Corporate/Transactional Associate for Cannabis-Focused Law Firm Ringgenberg Law Firm PC

Our busy and fast-growing law firm on Oakland’s waterfront is seeking a new junior to mid-level corporate/transactional associate attorney.

The firm’s practice focuses on representing businesses in California’s booming legal cannabis industry in licensing, regulatory compliance, business transactions, litigations, and other matters.

Interest in the cannabis industry is important to success in this position, but formal experience in the industry is not required.

The new associate position will be focused on supporting the firm’s clients on a wide array of corporate matters, including entity formation and governance, mergers and acquisitions, intercompany agreements, and equity financings. As needs arise, support may also be required on state and local licensing, regulatory advice, commercial transactions, and litigation.

The ideal candidate will have three to five years’ experience as a corporate generalist, including experience in:

  • Entity formation and governance, including California and Delaware entities
  • Private M&A
  • Startup and other equity financing
  • Corporate due diligence
  • Securities compliance

A working knowledge of the tax considerations involved in entity selection, M&A transactions and other corporate transactions is strongly preferred.

Strong drafting skills and an attention to detail are required.

This full-time position offers benefits including health, dental, vision, 401K, and paid time off, as well as a bonus program. The firm may be open to an “of counsel” relationship on an hourly basis for the right candidate.

Pay: $75,000.00 – $100,000.00 per year
