Reporting to the EVP of the Legal team, the SEC Reporte r, Corporate Counsel will play an integral role in the filings, reporting, and disclosures of Ascend Wellness Holdings, Inc., a newly publicly traded company. They will be primarily responsible for managing the Company’s public reporting obligations (primarily arising under the Securities and Exchange Act of 1934) but will also assist on financing transactions and day-to-day legal operations.

ESSENTIAL DUTIES AND RESPONSIBILITIES:
Drafting, reviewing, advising on and submitting public filings and other public disclosures, including periodic reports on Form 10-K and 10-Q, proxy statements, registration statements, Section 16 beneficial ownership reports Current Reports on Form 8-K, and earnings press releases and presentations.
Advising on compliance with listing standards and handling exchange submissions
Leading various general corporate matters, including organizing the annual meeting of stockholders and related proxy voting and stockholder delivery and access mechanics, and assisting with the company’s D&O insurance program
Advising on mergers & acquisition transactions
Drafting and negotiating commercial agreements
Developing and implementing policies, practices and critical initiatives across all teams
Supporting other members of the team with the quarterly earnings process, periodic reports, compliance with Regulation FD, Sarbanes-Oxley compliance and other related matters
Providing such other assistance and support as may be required from time to time in areas outside of those specified above

EDUCATION, EXPERIENCE, ELIGIBILITY and TRAINING:
Admitted to practice law in New York State and in good standing; or qualified to promptly register as in-house counsel in New York State (other state admissions will be considered)
5+ years’ experience and proven success advising clients at a major law firm and/or in an in-house position.
Juris Doctor Degree required
Experience in executive compensation disclosures highly valuable; 162(m) and 409A compliance not required but valuable.
Proficient in MS Office, Proficient in MS Excel
Experience in compliance reporting software required, Workiva preferred.
Must maintain a high level of integrity, personal motivation, and sense of urgency.
Must be 21 years of age or older to apply.
Must comply with all legal or company regulations for working in the industry.
