The Law Offices of Omar Figueroa, Inc. is a prestigious California cannabis- and hemp-focused law firm located in Sonoma County. We have an open position for a lateral Transactional Attorney with extensive experience drafting, reviewing, negotiating, and implementing various kinds of business-related contracts and transactions; forming business entities; protecting intellectual property; working on real estate transactions; advising on employment and securities laws; and ensuring regulatory compliance. This position reports directly to Senior Associate Lauren Mendelsohn, with oversight by Principal Omar Figueroa.

Our firm is highly respected in the field of cannabis law. Our attorneys are regularly invited to speak at conferences and events across the world, and sit on the Board of Directors of the International Cannabis Bar Association, the Cannabis Travel Association International, the National Cannabis Industry Association, and the ACLU of Sonoma County. We also write the leading book on California cannabis laws, a carefully curated compendium entitled Cannabis Laws and Regulations, which is in its fifth edition.

We represent a wide array of diverse clients across the entire cannabis supply chain: cultivators, manufacturers, distributors, testing laboratories, delivery companies, storefront dispensaries, microbusinesses, and event production companies.

Time Commitment

The Transactional Attorney is expected to be available every Monday through Friday, from 8:30 am to 5:30 p.m. (Attorneys in the firm ordinarily take a brief break around noon for lunch and self-care.) The attorney is expected to bill a minimum of 25 billable hours per week (an average of five billable hours, five days per week, equivalent to 1,250 billable hours per year assuming fifty work-weeks per year). The target billable hours are 30 billable hours per week (an average of six billable hours per day, five days a week, equivalent to 1,500 billable hours per year assuming fifty work-weeks).

Both the minimum and target billable hours contemplate that additional time during the week is necessary for firm-related activities which are not billable, such as attending virtual office meetings and problem-solving “workshops” with other attorneys.

This is a full-time, exempt salary position. Depending upon the workload, it is anticipated that the salaried attorney may at times have to work overtime without additional compensation as is common in the legal profession. The firm may be open to an “of counsel” relationship on an hourly basis for the right candidate.

Role & Responsibilities

  • Provide legal advice and guidance on compliance with regulations related to California’s cannabis and hemp industries.
  • Advise and assist clients regarding entity formation and restructuring, corporate governance, and agreements between owners and with potential investors.
  • Liaise with government regulatory bodies, elected and appointed officials, administrative agencies, and other decision-makers on behalf of clients.
  • Draft, review, and negotiate a wide range of contractual documents including but not limited to commercial leases, distribution contracts, white labeling/manufacturing agreements, non-disclosure agreements, IP licensing agreements, etc.
  • Advise and consult with clients to identify critical legal issues, assess potential legal options, and provide individuals and teams with an analysis and range of possible legal solutions.
  • Counsel, advise, and assist clients regarding the full spectrum of law applicable to their operations, including but not limited to labor and employment, corporate governance, securities, and general business transactions.

Qualifications

  • 3+ years of experience as a licensed attorney with a focus on business transactions including: extensive experience drafting, reviewing, negotiating, and implementing various kinds of business-related contracts and transactions; forming business entities; protecting intellectual property; working on real estate transactions; advising on labor and employment laws; advising on and securities laws; and ensuring regulatory compliance.
  • Experience working with highly-regulated industries as well as knowledge of cannabis and/or hemp laws, is preferred but not required.
  • Experience with civil litigation is a plus, but is not required.
  • Must be an active member of the California Bar in good standing.
  • Demonstrated knowledge of all aspects of M&A transactions, including but not limited to asset and equity purchases, cross-border transactions, restructurings and recapitalizations, leveraged buyouts, joint ventures, exchange offers, valuation disputes, due diligence, and related issues.
  • Extensive experience drafting and negotiating complex contracts, as well as steering and closing complex deals.
  • Ability to communicate effectively, exercise good judgment in decision making, understand and synthesize complex issues, and support the execution of business strategy.
  • Strong research, writing, and analytic skills with the ability to work independently, as well as to collaborate as part of a team.
  • Detail-oriented with strong organizational and project management skills.
  • Comfortable working in a fast-paced, high activity environment; able to handle ambiguity, juggle many matters at once, and quickly shift from one situation or task to another.
  • Talent for thinking out of the box when confronting novel issues.
  • Strong familiarity with legal ethics, including conflict management, and corporate governance.
  • Ability to work well with others and to behave in a kind, intelligent, and compassionate manner.
  • Valid California Driver’s License and a registered vehicle in good working condition is preferred but not required.

Home Office Requirements

  • Work will be performed remotely.
  • The Transactional Attorney is solely responsible for providing their own quiet, private, and safe workspace with reliable high-speed Internet access, as well as Attorney’s own up-to-date computer with Microsoft Office and Adobe Acrobat (or other PDF editor) installed.
  • Given that the Transactional Attorney will be entrusted with confidential and privileged information, the Transactional Attorney agrees to take all reasonable precautions to maintain physical and digital security.
  • The Transactional Attorney agrees to be solely responsible for paying for rent, utilities, and supplies for their home office.

Physical Requirements

  • The Transactional Attorney will be required to sit and/or stand at a desk for long periods of time.
  • Typing, lifting, walking, reaching and pulling are part of the job and are required.
  • The Transactional Attorney will occasionally be required to travel off-site on business, and may be required to sit in a confined space, as a driver or passenger, for long periods of time.
