Summary/Objective

The corporate counsel executes a broad range of legal functions including U.S. and Canadian securities filings, contract drafting and review, litigation oversight, and analysis of various laws and regulations. Projects will include complex business transactions, tax situations, and precedent setting legal issues. This position will work directly with General Counsel to provide recommendations based on research and analysis of the industry.

Core Responsibilities

  • Serves as lawyer/legal advisor on major business transactions, including acquisitions, divestitures and joint ventures.
  • Draft and review a range of contracts including vendor agreements and nondisclosure agreements.
  • Preparation of corporate governance materials including board minutes, resolutions, and corporate policies.
  • Oversight of a large range of litigation matters and outside law firms.
  • Assistance preparing SEC and Canadian securities filings, and understanding relevant laws and regulations.

Qualifications

Required:

  • Law degree.
  • Admitted to the bar.
  • Minimum of 2 years’ experience in a law firm environment.

Preferred:

  • SEC reporting experience.
  • Cannabis regulatory experience.
  • At least 3 years’ experience as a practicing lawyer, preferably initially with a prominent national law firm.

Supervisory Responsibility

May be required to supervise paralegals and legal secretaries in the future.

 

Work Environment

This is a remote position, but will occasionally require coming together as a team to work on larger projects and some travel. This role routinely uses standard office equipment such as computers, phones, and photocopiers. This position regularly requires long hours and frequent weekend work.

Physical Demands

While performing the duties of this job, the employee is regularly required to talk and hear. This is largely a sedentary role; however, some filing may be required. The employee frequently is required to stand; walk; use hands, handle or feel; and reach with hands and arms.

Position Type and Expected Hours of Work

This is a full-time position. Occasional evening and weekend work may be required as job duties demand

Travel

This position requires up to 15% travel. Frequently travel is outside the local area and overnight.
