Rescheduling and §280E: What Cannabis Operators Need to Know Now.

 

The recent directive from the U.S. Department of Justice marks a meaningful shift for the cannabis industry, particularly for state-licensed medical operators. However, this is not a finished process, and it is important to understand both the opportunity and the limitations of what has been announced. 

What’s changed (if upheld):
State-licensed medical cannabis operators moving to Schedule III would no longer be subject to §280E. This has direct implications for profitability, cash flow, and the ability to reinvest in operations and growth.

 

What has not changed:
This remains a developing situation. Legal challenges are expected, and implementation will depend on how the Internal Revenue Service and Treasury interpret and apply the order, particularly regarding any potential retrospective relief for prior tax years.

 

What this may open up:
There are early signals around an expedited Drug Enforcement Administration registration pathway for medical operators. While this introduces the possibility of future participation in international markets, it is important to approach this with clarity. Export readiness requires EU-GMP compliance, operational alignment, and a significantly higher level of regulatory oversight. This is not an immediate opportunity and will require deliberate planning.

 

Adult-use operators:
There is no immediate change. Cannabis remains Schedule I for adult use until at least the conclusion of the upcoming DEA hearing on July 15. Any potential §280E relief for adult-use businesses will follow that process, not precede it.

What this means for operators
This should be understood as Phase 1 of a longer shift. While the headlines focus on tax relief, the broader impact is structural. Operators who are best positioned will be those who use this window to strengthen financial visibility, revisit entity structure, and prepare for a more complex, but more viable, operating environment.
