Curaleaf’s Assistant General Counsel for Strategic Transactions plays a key role in providing legal support and process management for the strategic transactions of the Company, including mergers and acquisitions, strategic partnerships, competitive cannabis license applications, and capital market transactions. The Assistant General Counsel will assist the Chief Legal Officer (“CLO”) in developing the Company’s legal function in these areas and implement best practices. This position will report to the CLO and will interact directly with the business development team and senior management. Based in New York City

MAJOR LEADERSHIP RESPONSIBILITIES

  • Hands-on management of the legal processes required to vet, negotiate and close the Company’s strategic transactions, including mergers and acquisitions, strategic partnerships, competitive cannabis license applications, and capital market transactions
  • Structuring transactions, including integration of tax and regulatory considerations
  • Assisting in the integration of acquired assets
  • Monitoring compliance with transaction documentation and assisting in the management of disputes arising from strategic transactions
  • Assisting the Chief Legal Officer and the business development team in improving deal processes and implementing best practices
  • Managing relationships with outside counsel and actively managing cost control
  • Helping to draft and review public disclosures regarding the Company’s strategic transactions
  • Stay abreast of legal, regulatory, and institutional requirements as they apply to the medical and recreational marijuana industry

CRITICAL SUCCESS FACTORS

  • Strong ability to manage a range of legal projects and multi-task
  • Proven legal acumen and the ability to devise and implement bespoke solutions
  • Experience working in a startup, early-stage and/or high-growth industries strongly preferred
  • Securities law / public company experience is a plus; experience working in a regulated environment is also a plus
  • Strong communication skills to work with staff, trustees, and other professionals
  • Superior writing, analytical, negotiating, and communication skills
  • Ability to handle confidential information and material with the highest degree of discretion and professional responsibility
  • Ability to work under pressure, handle multiple competing priorities and provide practical legal advice

QUALIFICATIONS

  • J.D. degree from an accredited law school with superior academic credentials
  • 7-12 Years’ experience:
    • 3+ years experience as a practicing lawyer, preferably initially with a prominent national law firm before moving to an in-house position
    • 3+ years of legal practical experience with an in-house legal department
  • Subject to background check per state cannabis regulations
