Position Overview

KTNB is a cannabis holding company engaged in the ownership, acquisition, licensing, branding, and operation of cannabis assets across multiple U.S. states. The In-House Counsel will serve as a strategic legal partner to executive leadership, supporting mergers and acquisitions, partnership structures, brand and IP licensing, and complex multi-state cannabis regulatory compliance.

Mergers & Acquisitions

  • Lead legal aspects of mergers, acquisitions, divestitures, and asset purchases.
  • Draft and negotiate LOIs, purchase agreements, and closing documents.
  • Conduct and oversee legal due diligence for target companies and licenses.
  • Coordinate with external counsel and advisors during transactions.

Partnerships, Branding & Licensing

  • Draft and negotiate partnership and joint venture agreements.
  • Oversee brand and intellectual property licensing agreements.
  • Advise on brand expansion strategies while mitigating regulatory risk.

Cannabis Regulatory & Compliance

  • Advise on cannabis regulatory compliance across multiple states.
  • Support licensing applications, renewals, and ownership changes.
  • Develop internal compliance frameworks and SOPs.

Multi-State Ownership & Corporate Governance

  • Advise on multi-state ownership structures and entity governance.
  • Support holding-company structuring and subsidiary compliance.
  • Manage corporate documentation and governance matters.

Qualifications

  • Juris Doctor (JD) from an accredited law school.
  • Active license and good standing in at least one U.S. jurisdiction.
  • Strong drafting and negotiation skills.

Pay: $60,000.00 – $70,000.00 per year
