Lawyers from Ballard Spahr’s Mergers and Acquisitions Group advised Southern Bloom Botanicals, LLC, on a recently closed transaction through which Southern Bloom acquired all Florida cannabis operations of Red White & Bloom Brands.
Red White & Bloom Brands, Inc., is a publicly listed, multijurisdictional cannabis company with operations across Canada and the United States.
The acquisition was completed on July 14, 2026, with authorization by the Florida Office of Medical Marijuana Use (OMMU). The OMMU has granted regulatory approval of the change of control as it relates to the licensed Red White & Bloom Florida operations.
The Ballard Spahr team that advised Southern Bloom Botanicals was led by Partner Ryan J. Udell and Counsel Adam J. Chelminiak, and included Partner Catherine M. LaGrange and Associate Melissa Rezzag of the firm’s Commercial Finance Group for financing aspects of the transaction, as well as Senior Counsel John J. Eagan of the Tax Group on tax structuring matters.
