TRANSACTIONAL/BUSINESS ATTORNEY – Las Vegas, NV

Seeking a corporate/transnational/business associate. Desired Skills and Experience

The ideal candidate should possess the following:

  • Drafting formation and governance document for entities such as articles of incorporation, articles of organization, certificates of limited partnership, and bylaws, stockholder agreements, operating Agreements, and limited partnership agreements both with and without preferred equity;
  • Drafting financing and loan documents such as loan agreements, promissory notes, security agreements, pledge agreements, and UCC Statements, and familiarity with pertinent sections of Article 9 of the Uniform Commercial Code;
  • Drafting asset and equity purchase agreements such as asset purchase agreements, equity purchase agreements, contribution agreements, and option agreements and familiarity with tax considerations in structuring such transactions;
  • Familiarity with exempt private securities offerings and related documents under Regulation D and other federal exemptions and under Nevada state securities laws, such as private placement memoranda, subscription agreements, subscriber questionnaires, and other subscription documents;
  • Familiarity drafting diverse types of contracts, and/or industry-specific agreements;
  • Prior responsibility negotiating contract terms as lead attorney in substantial transactions;
  • Experience in Cannabis licensing and transactions in Nevada or other states; and
  • Experience working with venture capital and/or private equity companies.
