Division / Department Summary

The Legal team is a cornerstone department providing vital support functions to the executive and senior leadership teams, supporting key employment-related legal responsibilities, contract development and guidance, general legal counsel, and Company culture development.

 

About you

We are seeking an experienced General Counsel and Manager Regulatory Affairs, whose key focus will be managing all Group legal and compliance matters, including regulatory and government liaison work. This role will report directly to the Chief Executive Officer with potential flexibility for 4 days per week.

 

Key Accountabilities

General

  • Responsibility for general legal matters affecting the group.
  • Provide legal advice and counsel as required for the Company group.
  • Act as the spokesperson and focal point for strategic and operational advice on all legal matters to executive management.
  • Efficiently manage litigation and promptly resolve disputes.
  • Manage external legal providers to provide effective and value-based services.
  • Ensure that directors and other stakeholders are kept informed of relevant new or proposed legislation which impacts the Company.
  • Provide prompt responses in reviewing and drafting contracts and providing advice as required.
  • Develop, draft, and negotiate a range of contracts for the business and other legal documents to effectively manage risk.
  • Developing an education and training program for the discharge of legal matters by the business.

Manage and Expand Legal Function

  • Manage legal function as a business partner to cover the Group’s operations in Melbourne and Queensland.
  • Provide expertise and frameworks for the management of external legal advisors.
  • Develop appropriate legal policies for the business.
  • Establish an appropriate risk framework for legal matters commensurate with the ambitions and strategy of the business.
  • Demonstrate financialacumen in the discharge of legal services with a focus on minimising external legal spending wherever reasonably possible.

Regulatory and Compliance

  • Ensure legal compliance generally across the Company group locally and internationally including legal audit and review of local legal advisers and laws.
  • Align with the Company’s role to influence change in the industry and educate industry and consumers on the benefits and acceptance of medicinal cannabis and e-health generally as a mainstream alternative to traditional healthcare.
  • Establish and maintain relationships to extent necessary with key regulators including developing a positive working relationship with the TGA, ODC, and other relevant regulatory bodies.

 

Requirements

  • 10+ years post admission plus experience as a General Counsel, with a proven track record in establishing business partnering legal functions.
  • Understanding of corporate law matters as they apply to listed companies.  Prior listed company experience would be advantageous though not essential.
  • Good knowledge of commercial laws including companies, corporate governance, risk management, intellectual property, employment, environment, occupational health & safety laws, competition and consumer laws, human rights, and privacy.
  • Proven experience in liaising with regulators and management of regulatory and compliance matters, taking a proactive approach.
  • Experienced in management of complex litigation including litigation strategy is essential.
  • Tech savvy with advanced computer processing skills including Microsoft Suite.
  • Strong attention to detail with a diligent work ethic.
  • Demonstrated ability to meet tight deadlines and manage competing priorities.
  • Sound drafting, advisory, and analytical skills as well as strong commercial acumen.
  • Readily adaptable to changing situations and an ability to manage and mentor staff to achieve optimal outcomes.

  • Australian working rights for at least 3 years.
  • Clean criminal record – National Police Check requirement.
