TOPIC 1 — PLANTING HEMP IN 2020: UNDERSTANDING THE NEW LEGAL LANDSCAPE

As we get ready for the 2020 Hemp Planting Season, it is crucial for all hemp farmers who intend to cultivate a 2020 hemp crop to understand the legal issues that will affect the ability to cultivate and sell a 2020 hemp crop.  In this session, we will discuss some of the fundamental issues involving the adequacy of water rights for cultivation of hemp in Oregon, as well as the pre-harvest THC concentrations that will be applicable to the harvest and sale of hemp crops grown in Oregon during the 2020 Growing Season. Perry will address some of the confusion and contradictory information that you may have heard about the applicability of the USDA Interim Final Regulations and the interplay between those regulations and the Oregon Department of Agriculture Rules that will govern hemp cultivation through the 2020 Growing Season, as well as some of the emerging understandings with respect to the sale of Hemp CBD and CBD products throughout the United States. Please join us as we discuss these important issues that all hemp farmers should understand before they begin to acquire land, seeds and genetics for their 2020 crop.

Presented by Perry Salzhauer, Green Light Law Group  Heading up the firm’s corporate practice group, Perry has advised businesses and government agencies on a broad range of contractual matters for almost 20 years.  His experience includes negotiating and executing supply-chain contracts for private companies, public companies, and some of the largest government contractors and government agencies on both coasts, while developing model agreements to streamline their operations.  Since turning his attention to the cannabis industry, Perry has helped many marijuana and hemp companies develop and negotiate customized agreements for unique business relationships as well as model agreements for their more general use.  With his vast experience in the field of mergers and acquisitions and corporate finance, Perry also has a deep practical understanding of the importance of all contracts in the acquisition and valuation processes.

TOPIC 2 — HEMP FARMLAND: CRITICAL ISSUES FOR LEASING, BUYING AND SELLING

Securing farmland to grow your hemp crop is a necessary first step on the road to a successful harvest and leasing or purchasing are the two most common transactions to accomplish this step. In this session we will discuss best practices and common mistakes that can be disastrous. Agricultural leases are similar in many respects to other commercial leases, but there are many issues that must be considered and incorporated into the lease. Every lease transaction is different and narrowly tailoring the agricultural lease to the specific farm and the specific deal terms is critical. Similarly, purchasing or selling a farm gives rise to numerous legal issues that must be considered and incorporated into a purchase and sale agreement. Making sure that you are legally protected makes good business sense whether you’re buying a farm to grow a hemp crop or considering selling your land to a hemp farmer.
