Associate Corporate Counsel

In addition to the broad array of general corporate counsel work, the Associate Corporate Counsel will focus on transactions and will draft, review, and negotiate proposals, letters of intent, term sheets and conditions, and statements of interest with respect to proposed M&A transactions. This role will provide input on the decision whether to send matters to outside counsel and assist in the oversight of outside counsel as necessary.

 

ESSENTIAL FUNCTIONS AND RESPONSIBILITIES:

  • Give accurate and timely counsel to executives on a variety of legal topics (labor law, partnerships, joint ventures, corporate finance etc.).
  • Identify risks and propose alternative structures to mitigate risks involved in potential transactions.
  • Draft transactional documents dealing with joint ventures, supply contracts, service agreements, financing, and other legal matters.
  • Close transactions, including sales, acquisitions, and joint ventures.
  • Assist with or manage the negotiation of complex transactions, sales, and funding, as required.
  • Collaborate with leadership to devise efficient defense strategies.
  • Create and administer internal governance policies and regularly monitor compliance.
  • Research and evaluate risk factors regarding business decisions and operations.
  • Apply effective risk management techniques and offer proactive advice on possible legal issues.
  • Communicate and negotiate with external parties (regulators, external counsel, public authority etc.), creating relations of trust.
  • Draft and solidify agreements, contracts, and other legal documents to ensure the company’s full legal rights.
  • Deal with complex matters with multiple stakeholders.
  • Ensure the corporate legal documents necessary for managing complex relationships between multiple entities are in place, current, and effective.
  • Provide clarification on legal language or specifications at all levels of the organization.
  • Provide asset and corporate level due diligence.
  • Assist with the management and oversight of outside counsel.
  • Perform related administrative and management functions as needed.
  • Consult and handle all corporate legal processes (e.g. intellectual property, mergers & acquisitions, financial/securities offerings, compliance issues, transactions, agreements, lawsuit.
  • Reviews advertising and marketing materials to ensure that they are in compliance with legal requirements.
  • Advise on transactional matters relating to mergers and acquisitions, as well as private equity and other investments across a range of highly diversified asset classes.
  • Keep abreast of legislative changes.
  • Maintaining knowledge of the company’s legal documents and operations.
  • Crafting and reviewing legal strategy in response to any litigation.
  • Keeping a record of all legal documents and proceedings for the company.

 

PERFORMANCE REQUIREMENTS:

  • Excellent knowledge of current industry regulations and legislation and understanding of corporate law and procedures.
  • High degree of professional ethics and integrity
  • Sound judgment and ability to analyze situations and information
  • Outstanding communication skills both verbal and in writing

WORK CONTEXT:

  • Work is generally performed seated and requires some bending, stooping and reaching.
  • Work is generally performed in an office type setting.
  • This role routinely uses standard office equipment such as computers, phones, photocopiers, filing cabinets and fax machines.
  • Evening and weekend work may be required as job duties demand.
  • In-state travel is expected for this position.

EDUCATION AND EXPERIENCE:

  • The candidate must have a J.D. degree from an ABA-approved law school and be an active member in good standing of the California Bar and California licensed attorney.
  • Should have 4-6 years of significant corporate transactional and mergers and acquisitions experience, preferably with a national law firm, including experience drafting and negotiating transaction documents and overseeing due diligence in M&A transactions.
  • Seven plus years of experience in corporate counsel capacity preferred
