KK Legal & Advisory Services is a rapidly scaling law firm specializing in transactional law and regulatory compliance. We partner with innovative businesses operating in highly regulated industries, including cannabis, hemp, alcohol, kratom, psychedelics, pharmaceuticals, dietary supplements, food and beverage, artificial intelligence, EV infrastructure, and health and wellness, providing strategic legal guidance and ensuring compliance with complex regulatory frameworks. As a remote firm, we are looking for an experienced, self-sufficient business transactional attorney who can handle corporate governance, M&A transactions, regulatory compliance, and equity management. What’s In It For You?

– Salary: $150,000 – $170,000

Key Responsibilities

Start-Up Law and Equity Managemen

– Advise founders on entity formation, governance, and structuring.

– Prepare start-ups for fundraising, including drafting and negotiating term sheets, convertible notes, SAFE agreements, and stock purchase agreements.

– Design and implement equity management strategies, including stock option plans, equity incentive plans, and cap table management (experience with Carta preferred).

– Draft and negotiate critical agreements necessary for company launch and scaling, such as operating agreements, shareholder agreements, and partnership agreements.

M&A Transactions

– Negotiate, draft, and manage the due diligence process and closing matters for a wide range of corporate transactions, including mergers, acquisitions, joint ventures, and financings.

-Provide legal counsel to structure strategic transactions in alignment with business objectives.

Regulatory Compliance

– Manage regulatory compliance and licensing processes with agencies such as the Department of Cannabis Control (DCC), Alcoholic Beverage Control (ABC), and Alcohol and Tobacco Tax and Trade Bureau (TTB).

– Navigate Food and Drug Administration (FDA) compliance, including product approvals, marketing initiatives, website compliance, and labeling requirements.

Corporate Governance

– Provide day-to-day legal advice on governance, corporate policies, and risk management.

– Assist with Board-related matters, including drafting resolutions, written consents, and meeting minutes.

Commercial Agreements

– Draft, negotiate, and oversee execution of agreements such as real estate leases, manufacturing and supply contracts, licensing and distribution agreements, and financing agreements.

Business Development

– Share insights on start-up law, regulatory compliance, and strategic transactions through LinkedIn, webinars, and professional platforms.

-Help grow the firm by building relationships with founders, entrepreneurs, and industry stakeholders.

Qualifications

– 5+ years of experience as an actively barred attorney in California.

– 5+ years of regulatory compliance experience.

– Self-starter with the ability to take on tasks independently without supervision
